By selecting "I agree" or accessing Cortx IQ, you agree to these End User Terms and the Cortx IQ Acceptable Use Policy. You acknowledge that the Cortx IQ Privacy Notice has been made available to you. The Privacy Notice is not a consent mechanism unless a specific processing activity expressly relies on consent.

Provider. Cortx IQ is provided by Yentra.ai Limited, a company incorporated in England and Wales (company number 16348449), whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX, trading as Cortx IQ ("Cortx IQ", "we", "us").

You. "You" means an individual employee, contractor or agent whom the Customer has authorised to use Cortx IQ. "Customer" means the business named in the applicable Order Form. "Customer Terms" means the Cortx IQ Terms and Conditions and the Order Form agreed between us and the Customer.

1. Relationship with the Customer

Your access to Cortx IQ arises from the Customer Terms and the Customer's authorisation. These End User Terms govern your individual use of the Platform and do not replace the Customer Terms.

If there is a conflict between these End User Terms and the Customer Terms, the Customer Terms prevail as between us and the Customer. These End User Terms continue to apply to obligations expressly imposed on individual users, subject to mandatory law.

2. Account and security

You must keep your account credentials confidential, take reasonable steps to prevent unauthorised access and must not allow another person to use your account.

You are responsible for activity carried out through your account where that activity results from your act, omission or failure to comply with these account-security obligations.

Where you control your account information, you must keep it accurate and reasonably up to date. You must report suspected unauthorised access, credential compromise or other security concerns promptly to the Customer or to us at privacy@cortxiq.com.

3. Permitted use

Subject to the Customer Terms and these End User Terms, you may use Cortx IQ only for the Customer's authorised internal business purposes and only while the Customer has authorised your access.

You must comply with the Cortx IQ Acceptable Use Policy, Documentation, reasonable technical restrictions and any Customer policies that apply to your use of the Platform.

4. Input, Customer Data and confidentiality

"Input" means prompts, documents, data or other content submitted to Cortx IQ. "Output" means content, answers, summaries or other material generated or returned by Cortx IQ. "Customer Data" has the meaning given in the Customer Terms and includes Customer content and Output.

As between us and the Customer, the Customer owns Customer Data, including Output, subject to third-party rights. We may process Customer Data only as permitted by the Customer Terms, their Data Processing Addendum and applicable law.

You must only submit information that you are authorised to use and disclose through Cortx IQ. You must treat Customer confidential information in accordance with the Customer's policies and any applicable confidentiality obligations.

5. AI functionality and Output

Cortx IQ may use artificial intelligence to search, retrieve, analyse, classify, summarise, draft, recommend or otherwise process information. Output is generated computationally and may vary between requests.

Output may be incomplete, inaccurate or out of date. You must review and, where appropriate, independently verify Output before relying on it, communicating it externally, using it in a business process or making a decision based on it.

Output is not professional legal, financial, medical or other specialist advice. You must not present Output as independently verified where it has not been appropriately reviewed.

You must not use Cortx IQ as the sole decision-maker for a decision that has legal or similarly significant effects on an individual unless that use is lawful and the Customer has implemented the safeguards required by applicable data protection law, including appropriate transparency and human review where required.

6. AI transparency and provenance

Where applicable law requires individuals to be informed that they are interacting with an AI system, we will provide or enable an appropriate disclosure. You must not conceal, disable or misrepresent such a disclosure.

Where Cortx IQ applies provenance data, watermarking, content credentials, metadata or machine-readable AI markings, you must not deliberately remove, falsify or circumvent them except where expressly authorised and lawful.

If you publish or distribute AI-generated material, you remain responsible for disclosure obligations that apply to you or the Customer in that context.

7. Intellectual property

We or our licensors own the intellectual property rights in the Platform, Documentation, branding and Provider materials. No rights are granted except as set out in these End User Terms or the Customer Terms.

As between us and the Customer, rights in Customer Data and Output are governed by the Customer Terms. We do not guarantee that Output is unique, capable of intellectual property protection or free from third-party rights. Appropriate checks should be completed before using Output where intellectual property risk is material.

If you provide feedback about Cortx IQ, we may use that feedback to improve our products and services, subject to the Customer Terms and without acquiring rights to Customer confidential information beyond those terms.

8. Availability and product changes

Availability, service levels, support commitments and recovery targets are governed by the Customer Terms, including Schedule 3 (Service Levels and Support) of the Cortx IQ Terms and Conditions.

We may update the Platform from time to time. Material changes affecting the Customer's contracted service are handled in accordance with the Customer Terms.

9. Suspension and termination

We may restrict, suspend or terminate your access where reasonably necessary because of suspected compromise, security risk, material breach of these End User Terms or the Acceptable Use Policy, unlawful or harmful use, overdue Customer fees where the Customer Terms permit suspension, a legal or regulatory requirement, or an instruction from the Customer.

Where reasonably practicable, we will work through the Customer when permanently terminating an individual Authorised User's access.

10. Disclaimers and responsibility

Cortx IQ uses technology that may produce probabilistic, variable or incorrect results. We do not warrant to individual Authorised Users that Output will always be accurate, complete, current or fit for a particular purpose.

The principal commercial warranties, remedies, indemnities and limitations of liability between us and the Customer are governed by the Customer Terms. Nothing in these End User Terms excludes or limits liability where it would be unlawful to do so.

11. Changes to these End User Terms

We may update these End User Terms from time to time. Where a change is material, we will provide reasonable notice through Cortx IQ, to the Customer or by another appropriate means before the change takes effect, unless an earlier change is reasonably required for legal, regulatory, security or urgent operational reasons.

Where permitted by law, continued use after the effective date of updated End User Terms constitutes acceptance of the updated terms.

12. Governing law and jurisdiction

These End User Terms are governed by the law of England and Wales. Subject to any mandatory rights that apply in another jurisdiction, the courts of England and Wales have exclusive jurisdiction in relation to disputes arising from these End User Terms.
